FINANCIAL PLANNING  | Fee Agreement and Disclosure Statement

The undersigned Client hereby retains R. M. Neilio & Associates (“RMN”), a Registered Investment Adviser to review the Client’s financial affairs and provide the service(s) indicated below. A description of the services to be provided is set forth in Section I below. RMN will engage the Client through the consulting process and shall gather data, discuss financial analysis, and shall present a plan on a one time or ongoing basis as chosen by the Client in Section II.

I. Financial Planning Services

Personal and Business

PERSONAL

Comprehensive Planning: Comprehensive financial planning will typically cover most of the subjects below, if not all, depending on Client needs.

Risk Management and Insurance Planning:
Analysis of the Client’s insurance needs and coverage’s, taking into account the Client’s accumulation goals, assets and liabilities, sources of income, and income needs for the Client’s beneficiary upon death or disability.

Taxation Planning: Focuses on the Client’s tax situation that is based on a general understanding of current tax laws. May include analysis and recommendations, but is not limited to: income, deductions, tax planning and tax offsets.*

Investment Planning: Focuses on an analysis of investments, and appropriate adjustments to existing investments, based upon the Client’s description of his/her primary investment concerns, needs, goals, time horizon, risk tolerance and objectives. Discussions may involve descriptions and use of different types of investment vehicles such as equity, fixed income, real estate and portfolio management techniques and their respective applications to help meet Client’s stated goals and objectives.

Cash Flow Analysis: Analysis of the Client’s sources of income and expenses that may aid in discussions surrounding personal budgeting to meet Client goals.

Net Worth Analysis: Analysis of the Client’s net worth by discussing the Client’s assets and liabilities and planning surrounding the Client’s personal balance sheet.

Estate Planning: Focuses on the Client’s estate settlement costs, which include taxation and administrative costs and an evaluation of estate reduction and tax payment techniques. It involves discussion of gifts, trusts, power of attorneys, wills and estate planning documents.

Retirement Planning: Focuses on an analysis of the lump sum or periodic dollar commitment necessary to meet stated financial goals during retirement taking into consideration the Client’s assets and liabilities, projected social security, pension or other retirement benefits and desired level of income.

Other: Clients may request or require specific advice that may not have been captured above. A separate document that acknowledges agreement on the services to be provided must be attached.

BUSINESS

Current Position: Focuses on analysis of a business’ current and projected balance sheet, income statement, tax situation and other data particularly helpful in assessing a business’ capital and liquidity requirements.

Financial Ratios: Focuses on analysis of a business’ key financial ratios, such as current ratio, inventory turnover, return on equity, and several other ratios, which are useful in comparing the solvency, efficiency and profitability of a business to others in the same industry.

Tax Trends: Although not a comprehensive tax analysis, this plan shows what a business’ tax future may look like based on trends from the past three years and is helpful in focusing planning on the business’ after-tax return.*

Operational Reserves: Focuses on analysis of a business’ operational reserves and how to invest and utilize them most efficiently.

Business Continuation: Focuses on analysis showing methods of providing for an orderly continuation of a business after the death or withdrawal of a key owner/officer.

Key Employee: Focuses on analysis of the value of highly experienced key employees to a business and how and when to insure against the loss of such employees.

Retirement Planning: Focuses on analysis of the various types of retirement plans available to a business and recommendations as to the type of plan best suited for owners and employees.

Estate Planning: Focuses on analyses of estate taxes, which may include the probate process, and various types of trusts useful in estate planning.

Other: Clients may request or require specific advice that may not have been captured above. A separate document that acknowledges agreement on the services to be provided must be attached.
